These terms govern your access to and use of Spectra. Please read them carefully before using the Service.

Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and [Operating Entity] ("Spectra," "we," "us," or "our") and govern your access to and use of the Spectra website, applications, and services (the "Service"). By creating an account, connecting a tool, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
Definitions
"Account" means the registration that lets you access the Service. "Customer Data" means the content, files, records, and information you or your organization submit to or connect with the Service, including data drawn from Third-Party Services. "Third-Party Services" means external products you choose to connect, such as Google Workspace, Slack, and other integrations. "Workspace" means an organization's shared environment within the Service.
The Service
Spectra is an AI operator for work. It reads and acts across the tools your team connects, helps you organize information, and can turn repeatable work into automations. Features, integrations, and availability may change over time. We may add, modify, or discontinue parts of the Service, and we will use reasonable efforts to notify you of material changes.
Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your Account. Notify us promptly of any unauthorized use. You are responsible for the acts and omissions of users you invite to your Workspace.
Acceptable Use
You agree not to: (a) use the Service to violate any law or third party's rights; (b) upload malicious code or attempt to disrupt, probe, or gain unauthorized access to the Service or its infrastructure; (c) reverse engineer or resell the Service except as permitted by law; (d) use the Service to send spam or unlawful communications; or (e) exceed or circumvent usage limits, rate limits, or access controls. We may suspend access for conduct that we reasonably believe violates these Terms or risks harm to the Service or others.
Third-Party Services and Integrations
The Service lets you connect Third-Party Services. When you connect one, you authorize Spectra to access, use, store, and process data from that service as needed to provide the features you enable, and subject to that provider's terms. Your use of a Third-Party Service is governed by that provider's own terms and privacy policy. We are not responsible for Third-Party Services, and connecting them is at your discretion. You can disconnect an integration at any time, which revokes Spectra's ongoing access to it.
AI Features
The Service uses artificial intelligence to generate responses, drafts, and actions. AI output may be inaccurate or incomplete, and you are responsible for reviewing it before relying on or acting on it. You are interacting with an automated system, not a human. Do not use AI features as a sole basis for decisions that require professional, legal, financial, or medical judgment.
Customer Data
As between you and Spectra, you retain all rights to your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide and maintain the Service, to prevent or address technical or security issues, and as otherwise permitted by our Privacy Policy. We do not use Google user data obtained through the Service to train generalized AI or machine-learning models. Fees, Billing, and Trials
Paid plans and usage-based charges are described at getspectra.com/pricing. Unless stated otherwise, fees are billed in advance, are non-refundable except where required by law, and exclude taxes, which are your responsibility. Free trials convert to paid usage at the end of the trial unless canceled. Failed payments may result in suspension after a reasonable grace period.
Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by Spectra and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by us without restriction or obligation to you.
Confidentiality
Each party may access the other's confidential information in connection with the Service. Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms, except where disclosure is required by law.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPECTRA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You will defend, indemnify, and hold Spectra harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms, except to the extent caused by Spectra.
Term and Termination
These Terms apply while you use the Service. You may stop using the Service and close your Account at any time. We may suspend or terminate access if you materially breach these Terms or if required for legal or security reasons. On termination, your right to use the Service ends. You may export Customer Data for 30 days after termination, after which we will delete it in accordance with our Privacy Policy and Data & Account Deletion page, subject to legal retention requirements.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the updated Terms.
Governing Law and Disputes
These Terms are governed by the laws of [Governing-law jurisdiction], without regard to conflict-of-laws rules. The parties will attempt to resolve disputes informally first. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts located in [Governing-law jurisdiction], unless applicable law requires otherwise.
General
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Spectra regarding the Service.
